Acceptable Use Policy

AUP Overview

This Acceptable Use Policy ("AUP") explains the rules that apply when you access or use websites, portals, tools, reports, subscriptions, marketplace services, QR code services, support services, or other services provided by BaseMonkeys, LLC ("BaseMonkeys," "we," "us," or "our"). Certain legacy invoices, contracts, payment accounts, or service relationships may reference AGZ Consulting, Inc. DBA BaseMonkeys. If an order form, invoice, statement of work, proposal, or signed agreement specifically identifies AGZ Consulting, Inc. DBA BaseMonkeys as the contracting party, then that entity will be the contracting party for that specific transaction. Otherwise, the contracting party is BaseMonkeys, LLC. This AUP applies to, without limitation: - basemonkeys.com - smallbusiness.basemonkeys.com - clientportal.basemonkeys.com - baseqr.ai - BaseMonkeys Small Business - BaseQR - Client portal accounts, files, tickets, messages, service requests, approvals, subscriptions, and marketplace orders - QR codes, QR redirects, QR destinations, QR campaigns, scan analytics, and BaseQR accounts - Free reports, website scans, local visibility audits, recommendations, forms, tools, and related services - Any other BaseMonkeys website, portal, report, tool, product, or service that links to this AUP This AUP is incorporated into the BaseMonkeys Terms of Use, Master Services Agreement, Privacy Policy, Data Processing Addendum, Refund/Subscription/Cancellation Policy, applicable statements of work, proposals, invoices, service descriptions, marketplace orders, subscription orders, and client portal approvals. By using BaseMonkeys websites, the client portal, BaseQR, reports, tools, marketplace services, subscriptions, or services, you agree to this AUP. If you do not agree, do not use BaseMonkeys websites, portals, tools, or services.

1. Purpose

BaseMonkeys provides business, website, marketing, reporting, QR, portal, technology, support, and consulting services for legitimate business use. This AUP is designed to protect BaseMonkeys, our clients, users, service providers, third-party platforms, and the public from abuse, unlawful activity, security risks, platform misuse, and harmful conduct. BaseMonkeys may investigate, restrict, suspend, disable, remove, throttle, block, or terminate access to accounts, content, QR codes, redirects, campaigns, files, requests, reports, subscriptions, services, or features that violate this AUP or create legal, security, operational, reputational, financial, technical, or public safety risk.

2. General Rules

You agree to use BaseMonkeys websites, portals, tools, reports, QR services, subscriptions, and services only for lawful, authorized, and appropriate business purposes. You may not use or attempt to use BaseMonkeys services to: - Violate any law, regulation, court order, contract, platform policy, or third-party right; - Harm, exploit, mislead, defraud, harass, threaten, or abuse any person or organization; - Interfere with BaseMonkeys systems, services, users, clients, vendors, or third-party platforms; - Upload, transmit, link to, store, distribute, or promote unlawful, harmful, deceptive, infringing, unsafe, or abusive content; - Circumvent security, access controls, billing controls, usage limits, platform restrictions, or technical limitations; - Misrepresent your identity, authority, affiliation, business, product, service, or offer; - Use BaseMonkeys services in a way that creates unreasonable risk for BaseMonkeys, our clients, users, vendors, platforms, or the public.

3. Prohibited Content and Activities

You may not upload, submit, create, request, link to, transmit, publish, store, promote, redirect to, or otherwise use BaseMonkeys services in connection with content or activity that is unlawful, harmful, deceptive, abusive, or prohibited by this AUP. Prohibited content and activities include, without limitation: - Fraud, scams, deceptive offers, fake promotions, pyramid schemes, or misleading claims; - Phishing, credential harvesting, impersonation, fake login pages, or account takeover attempts; - Malware, viruses, ransomware, spyware, trojans, worms, botnets, malicious scripts, or harmful code; - Spam, unsolicited bulk messages, email abuse, SMS abuse, robocalling, or abusive lead generation; - Content that infringes copyrights, trademarks, trade secrets, privacy rights, publicity rights, or other rights; - Defamatory, harassing, threatening, abusive, hateful, discriminatory, or violent content; - Content that promotes, incites, or facilitates violence, terrorism, self-harm, exploitation, or illegal conduct; - Adult sexual content, pornography, sexual services, or explicit material, unless expressly approved in writing by BaseMonkeys for a lawful and appropriate business use; - Sale or promotion of illegal drugs, controlled substances, counterfeit goods, stolen goods, weapons, explosives, or unlawful regulated products; - Unlawful gambling, lottery, sweepstakes, financial schemes, investment schemes, credit repair schemes, or deceptive money-making offers; - Medical, health, financial, legal, tax, insurance, or professional claims that are false, misleading, unlawful, unsubstantiated, or noncompliant; - False reviews, fake testimonials, review gating, review manipulation, or reputation manipulation; - Content that violates advertising platform policies, search engine policies, social media policies, payment processor policies, hosting policies, or third-party terms; - Content or activity that may expose BaseMonkeys to legal, regulatory, reputational, operational, financial, technical, or security risk.

4. BaseQR and QR Code Rules

BaseQR may allow users to create, manage, redirect, track, and analyze QR codes and related links. You are responsible for all QR codes, campaigns, destination URLs, linked content, printed materials, customer communications, and business use associated with your account or QR codes. You may not use BaseQR or BaseMonkeys QR services to: - Link to phishing pages, fake login pages, credential collection forms, malware, unsafe downloads, or deceptive destinations; - Mislead users about where a QR code leads; - Replace a legitimate destination with a deceptive, harmful, or unrelated destination; - Redirect users to unlawful, infringing, abusive, adult, malicious, or high-risk content; - Collect sensitive information without proper notice, consent, security, and legal authority; - Track users in a way that violates applicable privacy laws, consent requirements, platform rules, or this AUP; - Use QR codes for spam, fraud, fake offers, deceptive marketing, impersonation, or unauthorized promotions; - Interfere with, overload, scrape, reverse engineer, exploit, or bypass BaseQR systems, analytics, redirects, limits, or security controls; - Use QR codes in physical materials, events, packaging, signage, or campaigns in a way that is unlawful, misleading, unsafe, or noncompliant. BaseMonkeys may disable, suspend, throttle, remove, redirect, or restrict any QR code, destination, campaign, link, account, analytics feature, or BaseQR service if we believe it violates this AUP, creates risk, triggers abuse reports, is blocked by vendors or platforms, or may harm users, BaseMonkeys, clients, service providers, or third parties. BaseMonkeys is not responsible for costs, losses, reprinting, missed leads, missed sales, event disruption, campaign losses, or business interruption caused by disabled, suspended, removed, blocked, incorrect, outdated, or noncompliant QR codes or destinations.

5. Client Portal Rules

You may use the BaseMonkeys client portal only for authorized business purposes related to your account, services, reports, subscriptions, service requests, tickets, marketplace orders, and communications with BaseMonkeys. You may not use the client portal to: - Access or attempt to access another client's account, files, data, reports, tickets, services, or portal areas; - Share your login credentials with unauthorized users; - Submit false, misleading, unlawful, abusive, infringing, or harmful requests; - Upload malware, harmful code, unsafe files, or suspicious content; - Upload content that you do not have the right to use or share; - Upload regulated or sensitive data unless expressly approved by BaseMonkeys in writing; - Harass, threaten, abuse, or spam BaseMonkeys personnel, contractors, vendors, clients, or users; - Use portal forms, messaging, tickets, or workflows for spam, scraping, phishing, lead harvesting, or unauthorized marketing; - Interfere with portal functionality, security, billing, approvals, reporting, or user management; - Circumvent payment, subscription, approval, usage, or account restrictions. Client is responsible for managing authorized users, user permissions, login credentials, account access, internal approval authority, and actions taken through Client's account. BaseMonkeys may rely on service requests, approvals, uploads, messages, and actions submitted through authorized portal credentials or business email addresses.

6. Uploaded Files, Client Content, and Service Requests

You are responsible for all content, files, documents, images, logos, text, URLs, data, credentials, instructions, and materials you provide to BaseMonkeys or upload to the client portal. You represent and warrant that: - You own or have the right to provide the materials; - The materials do not infringe or violate third-party rights; - The materials are accurate, lawful, and appropriate for the requested services; - Your instructions do not require BaseMonkeys to violate law, platform policies, third-party rights, or this AUP; - You have provided required notices and obtained required consents for any personal information included in the materials. BaseMonkeys may refuse, remove, quarantine, delete, restrict, or decline to process any file, content, instruction, service request, or material that we believe violates this AUP, is unsafe, is outside scope, creates risk, or is inappropriate for the requested service.

7. Sensitive and Regulated Data

Unless expressly approved by BaseMonkeys in writing, you may not upload, submit, transmit, or provide highly sensitive or regulated data through BaseMonkeys websites, portal, BaseQR, forms, service requests, tickets, messages, or tools. Restricted data includes, without limitation: - Protected health information; - Medical records; - Social Security numbers; - Government identification numbers; - Full payment card numbers; - Bank account credentials; - Financial account passwords; - Biometric data; - Children's data; - Precise geolocation data; - Criminal history; - Password lists; - Private keys, seed phrases, or security tokens; - Highly sensitive personal information; - Data subject to HIPAA, GLBA, FERPA, PCI DSS, or other regulated frameworks unless expressly agreed in writing. BaseMonkeys is not responsible for unauthorized sensitive or regulated data that you provide in violation of this AUP. We may delete, restrict, quarantine, or refuse to process such data.

8. Security and System Integrity

You may not interfere with, disrupt, compromise, test, scan, overload, or misuse BaseMonkeys systems, websites, portal, BaseQR, reports, APIs, infrastructure, vendors, or networks. Prohibited security-related activities include, without limitation: - Unauthorized access or attempted unauthorized access; - Password guessing, credential stuffing, brute-force attacks, or account takeover attempts; - Scanning, probing, penetration testing, or vulnerability testing without written authorization; - Circumventing authentication, authorization, billing, rate limits, or security controls; - Scraping, crawling, harvesting, or extracting data without permission; - Reverse engineering, decompiling, copying, or attempting to derive source code or system architecture; - Interfering with QR redirects, analytics, tracking, reporting, or account controls; - Introducing malware, malicious scripts, harmful code, or unsafe files; - Launching denial-of-service attacks or activity that degrades service performance; - Using BaseMonkeys infrastructure to attack, scan, spam, or abuse third-party systems; - Misusing bugs, vulnerabilities, configuration errors, or exposed data. If you discover a vulnerability or security issue, you must report it responsibly and may not exploit it, disclose it publicly, access data, disrupt systems, or test beyond what is necessary to confirm the issue.

9. Email, SMS, Marketing, and Lead Generation Rules

If BaseMonkeys provides or supports email, SMS, CRM, outreach, advertising, lead generation, forms, automation, or marketing-related services, you are responsible for ensuring your campaigns, lists, audiences, messages, claims, and practices comply with applicable law and platform policies. You may not use BaseMonkeys services to: - Send spam or unlawful unsolicited communications; - Use purchased, scraped, harvested, or unauthorized contact lists in violation of law or platform rules; - Send deceptive subject lines, misleading sender information, or false claims; - Fail to provide required opt-out mechanisms; - Ignore unsubscribe, STOP, opt-out, or suppression requests; - Send SMS or marketing messages without required consent; - Use false reviews, fake testimonials, or misleading endorsements; - Make unsubstantiated claims about products, services, health outcomes, financial outcomes, legal outcomes, rankings, leads, sales, or revenue; - Violate advertising, email, SMS, privacy, consumer protection, or platform rules. BaseMonkeys may refuse, pause, suspend, or terminate marketing-related services that we believe may violate law, platform policies, this AUP, or accepted business practices.

10. Reviews, Testimonials, Rankings, and Claims

You may not use BaseMonkeys services to create, promote, request, publish, manipulate, or support: - Fake reviews; - Paid reviews without required disclosure; - Review gating; - Review suppression schemes; - Misleading testimonials; - False case studies; - Unsubstantiated performance claims; - Misleading ranking, lead, sales, revenue, or compliance claims; - Deceptive before-and-after comparisons; - Claims that violate platform rules or advertising laws. Client is responsible for reviewing all business claims, offers, promotions, testimonials, advertisements, website content, QR destinations, reports, emails, SMS messages, and customer communications for accuracy and compliance.

11. Intellectual Property and Third-Party Rights

You may not use BaseMonkeys services to infringe, misappropriate, or violate the intellectual property or proprietary rights of others. You may not submit, upload, request, publish, or use: - Copyrighted content without permission; - Trademarked logos, names, or branding without authorization; - Trade secrets or confidential information without authorization; - Images, fonts, videos, music, code, templates, designs, or files without proper rights; - Content copied from competitors or third parties without permission; - Content that violates licenses, platform terms, or usage restrictions. BaseMonkeys may refuse or remove content that may infringe or violate third-party rights.

12. Regulated, High-Risk, and Restricted Businesses

BaseMonkeys may decline, restrict, suspend, or terminate services for businesses, campaigns, content, or activities that are regulated, high-risk, unlawful, deceptive, or outside BaseMonkeys' acceptable risk profile. This may include, without limitation: - Medical, health, pharmaceutical, supplement, or wellness claims; - Financial, investment, lending, credit, tax, insurance, or legal claims; - Adult content or sexual services; - Gambling, sweepstakes, lottery, or prize promotions; - Alcohol, tobacco, cannabis, controlled substances, or drug-related products; - Weapons, explosives, or dangerous goods; - Political, advocacy, or election-related campaigns; - Cryptocurrency, tokens, NFTs, trading, or speculative financial products; - Debt relief, credit repair, payday lending, foreclosure rescue, or similar high-risk offers; - Businesses or campaigns subject to special licensing, age restrictions, disclosures, or regulatory requirements. BaseMonkeys may require additional review, documentation, disclaimers, licenses, legal review, or written approval before providing services for regulated or high-risk businesses.

13. Platform and Third-Party Policy Compliance

Many BaseMonkeys services depend on third-party platforms, including website platforms, hosting providers, Google, Meta, email providers, SMS providers, payment processors, analytics tools, CRM systems, directory platforms, review platforms, advertising networks, and QR infrastructure providers. You agree to comply with all applicable third-party terms, policies, licenses, and rules. BaseMonkeys is not responsible if third-party platforms reject, suspend, restrict, disable, block, penalize, remove, or limit your accounts, ads, websites, QR destinations, emails, messages, listings, reviews, campaigns, or content. BaseMonkeys may refuse or suspend work that we believe may violate third-party policies or place BaseMonkeys, Client, users, vendors, or platforms at risk.

14. Resource Abuse and Fair Use

You may not use BaseMonkeys services in a way that imposes an unreasonable or disproportionate load on BaseMonkeys systems, vendors, personnel, contractors, support resources, or infrastructure. Prohibited resource abuse includes, without limitation: - Excessive automated requests; - Excessive QR redirect traffic inconsistent with the applicable plan; - Excessive file uploads; - Excessive ticket submissions; - Excessive support requests outside the applicable scope; - Attempts to bypass usage limits, plan limits, billing controls, or fair use restrictions; - Use that degrades system performance or affects other users; - Reselling, sharing, or pooling accounts without permission; - Using free tools at scale for commercial scraping, bulk scanning, or competitive analysis without authorization. BaseMonkeys may impose limits, throttle usage, require plan upgrades, suspend access, or terminate services if usage exceeds reasonable limits or applicable plan terms.

15. Account Access and Credential Security

You are responsible for maintaining the confidentiality and security of your login credentials, payment information, connected accounts, and authorized users. You agree to: - Use accurate account information; - Use strong passwords; - Protect login credentials; - Limit access to authorized users only; - Remove users who no longer need access; - Notify BaseMonkeys promptly of suspected unauthorized access; - Maintain administrative control over your own business accounts, domains, websites, and third-party platforms; - Avoid sharing sensitive credentials through unsecured channels. You are responsible for activity under your account, including activity by employees, contractors, vendors, agents, administrators, authorized users, or anyone using your credentials.

16. Enforcement

BaseMonkeys may take any action we believe is reasonably necessary to enforce this AUP, protect systems, reduce risk, comply with law, respond to abuse reports, or protect BaseMonkeys, clients, users, vendors, platforms, or the public. Enforcement actions may include, without limitation: - Warning the account owner; - Requesting changes or removal of content; - Rejecting a service request; - Refusing to publish or implement content; - Removing or disabling content; - Quarantining files; - Disabling QR codes or destinations; - Suspending QR redirects or analytics; - Suspending portal access; - Suspending subscriptions; - Pausing or terminating services; - Throttling or limiting usage; - Blocking traffic, accounts, domains, destinations, or users; - Reporting abuse to third-party platforms, service providers, law enforcement, regulators, or affected parties where appropriate; - Preserving records for legal, security, billing, or enforcement purposes; - Terminating the account or agreement. BaseMonkeys is not liable for losses resulting from enforcement actions taken in good faith under this AUP.

17. Investigations and Monitoring

BaseMonkeys may monitor, review, investigate, or analyze usage, reports, QR codes, destinations, files, service requests, portal activity, account activity, logs, or content to: - Operate and improve services; - Detect violations of this AUP; - Prevent fraud, spam, phishing, malware, abuse, or security incidents; - Protect systems, users, clients, vendors, and the public; - Comply with law, court orders, platform requirements, or government requests; - Enforce agreements and policies; - Resolve support, billing, or technical issues. BaseMonkeys has no obligation to monitor all activity and is not responsible for user content, Client content, QR destinations, or third-party content.

18. Reporting Abuse

If you believe someone is misusing BaseMonkeys services, BaseQR, the client portal, QR codes, redirects, reports, or tools, you may report the issue using the contact method provided on the applicable website, portal, or abuse reporting page. Before publishing this AUP, BaseMonkeys should add a dedicated abuse contact method. 19. Relationship to Other Agreements

This AUP supplements the BaseMonkeys Terms of Use, Master Services Agreement, Privacy Policy, Data Processing Addendum, Refund/Subscription/Cancellation Policy, applicable statements of work, proposals, service descriptions, invoices, marketplace orders, subscription orders, and client portal approvals. If there is a conflict between this AUP and a signed written agreement between you and BaseMonkeys, the signed written agreement controls for the specific services covered by that agreement. For all other use of BaseMonkeys websites, portal, BaseQR, reports, tools, and services, this AUP applies.

20. Changes to This AUP

BaseMonkeys may update this AUP from time to time. The updated version will be posted with a revised "Last Updated" date. Changes apply prospectively unless otherwise stated. Your continued use of BaseMonkeys websites, portal, BaseQR, reports, tools, subscriptions, or services after an updated AUP is posted means you accept the updated AUP.
