Terms Overview
These Terms of Use ("Terms") govern your access to and use of the BaseMonkeys Small Business website, services, marketplace, client portal, reports, communications, subscriptions, and related tools provided by BaseMonkeys, LLC ("BaseMonkeys," "we," "us," or "our"). Certain legacy invoices, contracts, payment accounts, or service relationships may reference AGZ Consulting, Inc. DBA BaseMonkeys. If an order form, invoice, statement of work, proposal, or signed agreement specifically identifies AGZ Consulting, Inc. DBA BaseMonkeys as the contracting party, then that entity will be the contracting party for that specific transaction. Otherwise, the contracting party is BaseMonkeys, LLC. These Terms apply to, without limitation: * basemonkeys.com * smallbusiness.basemonkeys.com * clientportal.basemonkeys.com * baseqr.ai * BaseMonkeys free reports, audits, scanners, recommendations, marketplace offerings, service requests, subscriptions, support tickets, and related communications * Any other website, portal, dashboard, form, report, email, or digital experience that links to these Terms By creating an account, submitting information, purchasing a service, approving a recommendation, using the client portal, generating or managing QR codes, using BaseQR, or otherwise accessing BaseMonkeys websites, portals, tools, or services, you agree to these Terms. If you do not agree, do not use the websites, client portal, BaseQR, reports, tools, or services. You agree that clicking or selecting buttons or checkboxes such as "Create Account," "Sign Up," "Submit," "Request Service," "Approve," "Accept," "Purchase," "Subscribe," "Generate," "Save," "Continue," or similar actions constitutes your electronic signature and binding acceptance of these Terms, the applicable service description, pricing, and any additional terms shown at the time of the transaction.
1. Who We Serve
BaseMonkeys Small Business provides digital marketing, website, technology, consulting, reporting, implementation, and business support services for small businesses. Our services may include website audits, local visibility reviews, website support, consulting, implementation work, content support, marketing support, hosting coordination, marketplace services, subscription services, reporting, and other related offerings. BaseMonkeys is not a law firm, accounting firm, insurance agency, investment advisor, tax advisor, or regulated professional services provider unless expressly stated in a separate written agreement. Any business, marketing, technology, or operational recommendations are provided for general business support and should not be treated as legal, tax, financial, medical, or compliance advice.
2. Contracting Entity and Relationship to Other Agreements
Unless a specific order form, invoice, proposal, statement of work, subscription checkout, or signed agreement states otherwise, your agreement is with BaseMonkeys, LLC. References to "BaseMonkeys," "we," "us," and "our" include BaseMonkeys, LLC and, where applicable, AGZ Consulting, Inc. DBA BaseMonkeys for legacy or specifically identified transactions. These Terms apply generally to your use of BaseMonkeys Small Business, BaseQR, BaseMonkeys websites, and the client portal. Some services may also be governed by additional agreements, statements of work, order forms, proposals, subscription terms, scopes of work, service descriptions, or marketplace terms. If there is a conflict between these Terms and a signed written agreement between you and BaseMonkeys, the signed written agreement will control for the specific services covered by that agreement. All other use of the website, portal, and services remains subject to these Terms.
3. Client Portal
The BaseMonkeys client portal, available at clientportal.basemonkeys.com, allows users to access certain features, which may include account registration and login, free reports, audits, or scans, marketplace services and recommendations, service requests, tickets and support requests, subscriptions, project status updates, notifications, files, notes, messages, approvals, knowledge base materials, settings, and account information. Portal features may change over time. We may add, remove, suspend, modify, or limit portal features at any time without liability. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You agree to notify us promptly if you believe your account has been accessed without authorization. We may suspend or terminate portal access if we believe your account is being misused, if payment is overdue, if your use creates risk for BaseMonkeys or others, or if you violate these Terms.
4. Eligibility and Authority
By using the website, client portal, or services, you represent that: * You are at least 18 years old; * You have the legal authority to agree to these Terms; * If you use the services on behalf of a business, you are authorized to bind that business; * The information you provide is accurate, complete, and current; * Your use of the services will comply with applicable laws and these Terms. If you create an account, submit a request, approve work, purchase a service, or accept a recommendation on behalf of a company, organization, or other entity, "you" includes both you personally and that entity.
5. Free Reports, Audits, Scans, Automated Tools, and Recommendations
BaseMonkeys may offer free tools, reports, audits, scans, recommendations, QR tools, or limited reviews. These free offerings are intended to provide general insights and identify potential opportunities or issues. Free reports and recommendations may be generated using automated tools, artificial intelligence, third-party data, APIs, available public information, user-provided information, or limited manual review. They may not identify every issue, risk, opportunity, technical problem, compliance concern, performance limitation, accessibility issue, privacy issue, security issue, search visibility issue, advertising issue, or platform issue. You acknowledge that free reports are informational only; results may be incomplete, outdated, estimated, or affected by third-party data limitations; recommendations are not guarantees of performance, ranking, traffic, revenue, conversion, compliance, or business results; you are responsible for deciding whether to act on any recommendation; and additional paid work may be required to validate, diagnose, or fix any issue identified. BaseMonkeys may limit the number, frequency, availability, or scope of free reports at any time.
6. Marketplace Services and Service Requests
The BaseMonkeys marketplace may allow you to browse, request, purchase, approve, or subscribe to certain services. Service descriptions, packages, pricing, timelines, deliverables, and limitations are listed in the marketplace, proposal, order form, subscription page, statement of work, or other applicable service description. A service request does not guarantee acceptance. We may decline, modify, quote separately, or request additional information before beginning work. Unless otherwise stated in writing: * Work begins only after BaseMonkeys accepts the request and any required payment or approval is received; * Timelines are estimates and may depend on client responsiveness, access, approvals, third-party platforms, and scope complexity; * Additional work outside the listed scope may require a separate quote, subscription, change order, or approval; * BaseMonkeys may reject requests that are unlawful, unsafe, technically unreasonable, outside our service scope, or inconsistent with our policies.
7. Recommended Services
BaseMonkeys may recommend services through the portal, email, reports, dashboards, consultations, or other communications. Recommendations may be based on report findings, business goals, website condition, local visibility, account activity, marketing opportunities, or other available information. Recommended services are optional unless required under a separate agreement. You are responsible for reviewing the recommendation, pricing, scope, and expected outcome before accepting. When you click, select, approve, accept, schedule, purchase, or otherwise authorize a recommended service, you authorize BaseMonkeys to proceed according to the applicable service description, proposal, scope, subscription terms, or order form.
8. Approvals, Revisions, and Client Responsibilities
Certain services may require your review, feedback, approvals, access, assets, credentials, content, or decisions. You agree to respond promptly and provide reasonably accurate information and materials. Unless otherwise stated in writing: deliverables are deemed accepted when you approve them in writing, approve them through the portal, publish or use them, or fail to provide requested feedback within a reasonable time; revision rounds may be limited by the package, subscription, statement of work, or marketplace description; revisions must relate to the original scope of work; new concepts, new pages, new features, major direction changes, expanded functionality, or work outside the original request may require additional fees; and delays in providing feedback, access, content, credentials, or approvals may delay delivery timelines. You are responsible for the accuracy, legality, ownership, and appropriateness of all content, materials, claims, offers, logos, images, files, credentials, business information, and instructions you provide.
9. Access to Third-Party Accounts and Platforms
To perform services, BaseMonkeys may need access to third-party platforms, including but not limited to website platforms, hosting accounts, domain registrars, Google Business Profile, Google Analytics, Google Ads, Meta, CRM systems, email platforms, design tools, payment platforms, review platforms, or other business systems. You represent that you have the authority to grant access to any third-party account you provide. You are responsible for maintaining your own account ownership, billing, security settings, permissions, backups, and compliance with third-party terms. BaseMonkeys is not responsible for third-party platform outages, bugs, suspensions, policy changes, fees, limitations, or data loss; changes made by you, your employees, contractors, vendors, plugins, apps, automations, or third-party providers; loss of access caused by expired credentials, unpaid third-party invoices, account restrictions, ownership disputes, or platform enforcement actions; or search engine, social media, directory, advertising platform, or marketplace ranking changes.
10. Payments, Subscriptions, Auto-Renewal, Cancellation, and Billing
Fees, payment schedules, subscription terms, renewal terms, cancellation rules, and payment methods are described in the applicable marketplace listing, checkout page, proposal, invoice, order form, subscription terms, statement of work, or written agreement. By purchasing a service or starting a subscription, you authorize BaseMonkeys and its payment processors to charge the payment method you provide for all applicable fees, taxes, recurring charges, renewals, third-party costs, and approved service charges. Unless otherwise stated in writing: * Fees are due when invoiced, at checkout, or according to the applicable payment schedule; * Subscription services automatically renew on the billing cycle shown at checkout, on the invoice, or in the applicable service description until canceled; * You authorize recurring charges without requiring a separate approval for each billing cycle; * You are responsible for canceling before the next renewal date if you do not want the subscription to renew; * Cancellation will be effective at the end of the then-current billing period unless the applicable service description states otherwise; * BaseMonkeys does not provide prorated refunds for partial billing periods unless expressly required by law or agreed in writing; * Setup fees, onboarding fees, audits, scans, reports, consulting, strategy, completed work, custom work, implementation work, rush work, and third-party costs are non-refundable; * Late, failed, disputed, or reversed payments may delay work, suspend access, pause subscriptions, remove portal access, or result in cancellation; * You are responsible for applicable taxes, third-party fees, ad spend, hosting fees, software fees, domain fees, platform fees, API usage fees, and payment processing fees unless expressly included in writing. To cancel a subscription, you must use the cancellation method provided in the portal, account settings, written service terms, or by contacting BaseMonkeys at the support or billing email address listed on the website. Your cancellation request must clearly identify the account, business, subscription, and service you wish to cancel. Canceling a subscription does not cancel unpaid invoices, completed work, third-party charges, or separately approved service requests. BaseMonkeys may change pricing for future purchases, renewals, or subscription terms by providing notice where required. Price changes do not affect work already paid for unless stated in a separate written agreement.
11. Refunds, Credits, and Chargebacks
Except where expressly stated in writing or required by law, all payments are final and non-refundable once work begins, access is granted, a report is generated, a subscription period starts, or a third-party cost is incurred. BaseMonkeys may, in its sole discretion, issue a refund, partial refund, account credit, service credit, or courtesy adjustment. Issuing a refund or credit in one situation does not require BaseMonkeys to issue the same or similar refund or credit in the future. If you dispute or reverse a valid charge, BaseMonkeys may suspend work, suspend portal access, pause deliverables, cancel subscriptions, recover collection costs, and require payment by another method before resuming services. Chargebacks for authorized purchases, completed work, active subscriptions, or approved service requests may be treated as a breach of these Terms.
12. Ad Spend and Third-Party Costs
Some services may involve advertising, hosting, software, domains, plugins, subscriptions, licenses, data providers, API usage, or other third-party costs. Unless expressly included in writing, those costs are separate from BaseMonkeys service fees and are your responsibility. Ad spend is paid to the advertising platform or managed according to the applicable service arrangement. BaseMonkeys does not guarantee advertising results, cost per lead, cost per click, conversions, impressions, search ranking, revenue, or return on ad spend.
13. BaseQR and QR Code Services
BaseQR may allow users to create, manage, scan, redirect, track, or analyze static or dynamic QR codes and related links. You are solely responsible for the destination URLs, content, campaigns, printed materials, business use, customer communications, and legal compliance associated with your QR codes. BaseMonkeys is not responsible for incorrect, outdated, broken, mistyped, unsafe, or unauthorized destination URLs; QR codes printed on physical materials after a destination changes or becomes unavailable; scan failures caused by print quality, placement, lighting, device limitations, camera limitations, browser behavior, network issues, or user error; analytics inaccuracies, missed scans, delayed reporting, blocked traffic, bot traffic, privacy settings, device settings, or third-party limitations; platform outages, DNS issues, hosting issues, API limitations, internet outages, browser restrictions, or security tools that block links; malicious or unlawful content linked through QR codes; or lost business value resulting from QR code errors, downtime, redirects, or destination changes. You may not use BaseQR for phishing, malware, credential harvesting, spam, fraud, impersonation, illegal products or services, deceptive marketing, infringement, harassment, regulated activity without required authorization, or any activity that may harm BaseMonkeys, users, third parties, or the public. BaseMonkeys may suspend, disable, redirect, throttle, delete, or restrict any QR code, destination, account, campaign, or link that we believe violates these Terms, creates security risk, violates third-party policies, may cause legal exposure, or may harm users or third parties.
14. Hosting, Websites, Maintenance, and Technical Services
BaseMonkeys may provide or coordinate website-related services, including website updates, hosting coordination, maintenance, scans, fixes, support, integrations, design, content, or technical recommendations. Unless expressly stated in writing, BaseMonkeys does not guarantee that any website, hosting environment, plugin, theme, integration, form, tracking code, automation, QR code, report, scanner, or third-party tool will be uninterrupted, error-free, fully secure, compatible with all systems, or free from vulnerabilities. You are responsible for maintaining appropriate backups, administrative ownership, domain renewals, platform billing, legal policies, compliance notices, accessibility compliance, privacy disclosures, cookie disclosures, industry-specific website requirements, and customer-facing legal disclosures unless expressly included in a separate written scope. Unless expressly stated in a signed written agreement, BaseMonkeys does not provide legal compliance audits and does not guarantee compliance with the ADA, WCAG, privacy laws, cookie laws, consumer protection laws, advertising rules, industry regulations, platform policies, payment rules, or any other legal or regulatory requirement.
15. Acceptable Use
You agree not to use the website, client portal, services, reports, tools, or communications to violate any law, regulation, contract, intellectual property right, privacy right, or third-party right; submit false, misleading, unlawful, defamatory, abusive, harassing, discriminatory, obscene, or harmful content; upload malware, viruses, harmful code, or materials designed to disrupt systems; attempt to gain unauthorized access to BaseMonkeys systems, accounts, data, or networks; interfere with or disrupt systems; reverse engineer or scrape except as permitted by law; send spam or deceptive communications; impersonate another person or business; misrepresent your authority; or use deliverables for unlawful or high-risk purposes. We may suspend or terminate access if we believe your use violates these Terms or creates risk for BaseMonkeys, our clients, third-party platforms, or the public.
16. Client Content and License to Use Materials
You retain ownership of content, logos, trademarks, text, images, files, business information, data, credentials, and other materials you provide to BaseMonkeys ("Client Content"). You grant BaseMonkeys a non-exclusive, worldwide, royalty-free license to use, host, store, copy, modify, display, transmit, and create derivative works from Client Content as reasonably necessary to provide services, operate the portal, generate reports, communicate with you, complete service requests, and maintain business records. You represent and warrant that you have all rights necessary to provide Client Content and authorize BaseMonkeys to use it for the requested services.
17. BaseMonkeys Materials and Intellectual Property
The website, portal, reports, workflows, dashboards, templates, documentation, processes, software, designs, service structures, marketplace content, recommendations, copy, graphics, logos, trade names, and other materials created or provided by BaseMonkeys are owned by BaseMonkeys or its licensors, except for Client Content and third-party materials. Subject to your payment of all applicable fees and compliance with these Terms, BaseMonkeys grants you a limited, non-exclusive, non-transferable license to use final deliverables created specifically for your business for your internal business purposes and public business use as intended. Unless expressly agreed in writing, you may not resell, sublicense, redistribute, reverse engineer, copy, package, white-label, or commercially exploit BaseMonkeys tools, reports, templates, processes, portal features, service descriptions, or internal materials.
18. Portfolio and Marketing Use
Unless you request otherwise in writing, BaseMonkeys may identify you as a client and may reference non-confidential examples of work performed for you in our portfolio, case studies, marketing materials, sales materials, website, or social media. We will not intentionally disclose your confidential information in public marketing materials without your permission.
19. Confidentiality
Each party may receive non-public business, technical, financial, marketing, customer, or operational information from the other party. The receiving party agrees to use reasonable care to protect confidential information and to use it only for purposes related to the services. Confidential information does not include information that is publicly available, already known without restriction, independently developed, received from a third party without confidentiality obligations, or required to be disclosed by law.
20. Privacy
Your use of BaseMonkeys Small Business is also governed by our Privacy Policy and any other privacy notices that apply to the website, portal, or services. By using the website, client portal, or services, you acknowledge that BaseMonkeys may collect, use, store, and process information as described in our Privacy Policy.
21. Communications and Notices
By creating an account, submitting a form, requesting a report, purchasing a service, or using the portal, you agree that BaseMonkeys may contact you by email, portal notification, phone, text message, or other reasonable means regarding your account, reports, service requests, recommendations, subscriptions, billing, support, security, and related business matters. You may also receive marketing communications where permitted by law. You may opt out of marketing emails using the unsubscribe link or by contacting us. Transactional, service, billing, account, and security communications may still be sent. 22. No Guaranteed Results
BaseMonkeys may provide recommendations, services, reports, campaigns, technical updates, website improvements, local visibility support, marketing support, consulting, and other business services. However, business outcomes depend on many factors outside our control. BaseMonkeys does not guarantee: * Search engine rankings; * Google Business Profile rankings; * Website traffic; * Leads, sales, bookings, revenue, or profits; * Advertising performance; * Conversion rates; * Customer reviews; * Platform approvals; * Error-free websites or systems; * Security, uptime, or uninterrupted access; * Compliance with every law, regulation, platform policy, or industry standard. Any estimates, projections, examples, benchmarks, scores, or recommendations are for informational purposes only and are not guarantees.
23. Third-Party Services and Links
The website, portal, reports, or services may reference, integrate with, or link to third-party websites, tools, platforms, APIs, software, plugins, payment processors, analytics providers, advertising platforms, hosting providers, directories, or other services. BaseMonkeys does not control third-party services and is not responsible for their content, policies, availability, security, billing, performance, changes, or actions. Your use of third-party services is governed by the applicable third-party terms and policies.
24. Beta Features and Experimental Tools
BaseMonkeys may offer beta, experimental, preview, limited-release, or early-access features. These features may be incomplete, unstable, changed, limited, or discontinued at any time. Beta features are provided "as is" and without warranties of any kind. We may use feedback you provide about beta features without restriction or obligation to compensate you.
25. Disclaimers
To the fullest extent permitted by law, the website, client portal, reports, recommendations, free tools, marketplace, subscriptions, and services are provided on an "as is" and "as available" basis. BaseMonkeys disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, and uninterrupted operation. BaseMonkeys does not warrant that the website, portal, reports, services, third-party integrations, or deliverables will meet your expectations, achieve any particular result, be error-free, remain available, or be free from harmful components. Some jurisdictions do not allow certain warranty disclaimers, so some disclaimers may not apply to you.
26. Limitation of Liability
To the fullest extent permitted by law, BaseMonkeys and its owners, officers, employees, contractors, representatives, affiliates, vendors, and licensors will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business, loss of goodwill, loss of data, data breach damages not caused by BaseMonkeys' gross negligence or willful misconduct, business interruption, reprinting costs, advertising losses, missed leads, missed sales, campaign losses, or cost of substitute services, even if advised of the possibility of such damages. To the fullest extent permitted by law, BaseMonkeys' total liability for any claim arising out of or relating to these Terms, the websites, BaseQR, the client portal, reports, recommendations, subscriptions, or services will not exceed the amount you paid to BaseMonkeys for the specific service giving rise to the claim during the three months before the event giving rise to liability, or one hundred dollars ($100), whichever is greater. You agree that any claim arising out of or relating to these Terms, the websites, BaseQR, the client portal, reports, recommendations, subscriptions, or services must be filed within one year after the claim arose, or the claim is permanently barred, unless applicable law requires a longer period. To the fullest extent permitted by law, disputes must be brought only on an individual basis. You waive the right to bring or participate in any class action, collective action, consolidated action, private attorney general action, or representative proceeding against BaseMonkeys. Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.
27. Indemnification
You agree to defend, indemnify, and hold harmless BaseMonkeys and its owners, officers, employees, contractors, representatives, affiliates, vendors, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: * Your use of the website, client portal, reports, recommendations, or services; * Your violation of these Terms; * Your Client Content; * Your products, services, business practices, claims, offers, advertising, or customer communications; * Your violation of any law, regulation, platform policy, contract, or third-party right; * Your instructions, approvals, omissions, or failure to provide accurate information; * Your use or implementation of any deliverable, recommendation, report, content, campaign, website change, or technical update.
28. Suspension and Termination
We may suspend or terminate your access to the website, client portal, reports, subscriptions, or services if: * You violate these Terms; * Payment is overdue, disputed, reversed, or failed; * We believe your use creates legal, security, technical, reputational, or operational risk; * You misuse the portal, services, reports, or communications; * A third-party platform restricts access or requires action; * We discontinue a service or portal feature; * We are required to do so by law or court order. Termination does not relieve you of payment obligations for services already performed, active commitments, unpaid invoices, third-party costs, or other amounts owed. Sections intended to survive termination will survive, including payment obligations, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, governing law, dispute resolution, and any other provisions that by their nature should survive.
29. Changes to the Website, Portal, Services, and Terms
We may update, modify, suspend, or discontinue any part of the website, client portal, reports, marketplace, subscriptions, or services at any time. We may also update these Terms from time to time. The updated Terms will be posted with a revised "Last Updated" date. Changes become effective when posted unless otherwise stated. Your continued use of the website, client portal, or services after updated Terms are posted means you accept the updated Terms.
30. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to conflict of law principles. Subject to any dispute resolution terms in a signed written agreement, any legal action or proceeding arising out of or relating to these Terms, the website, the client portal, or the services will be brought in the state or federal courts located in North Carolina, and you consent to the jurisdiction and venue of those courts.
31. Dispute Resolution
Before filing a claim, each party agrees to make a good-faith effort to resolve disputes informally. You agree to contact BaseMonkeys first with a description of the issue and requested resolution. If the dispute cannot be resolved informally, either party may pursue available remedies in accordance with these Terms and applicable law. BaseMonkeys may seek injunctive or equitable relief at any time to protect its intellectual property, confidential information, systems, portal, business operations, or legal rights.
32. Force Majeure
BaseMonkeys will not be liable for delay or failure to perform due to circumstances beyond our reasonable control, including natural disasters, severe weather, power outages, internet outages, cyberattacks, labor disruptions, government actions, platform outages, third-party service failures, supply chain issues, war, terrorism, public health emergencies, or other events beyond our reasonable control.
33. Assignment
You may not assign or transfer these Terms or your account without our prior written consent. BaseMonkeys may assign or transfer these Terms in connection with a merger, acquisition, restructuring, sale of assets, change of control, or by operation of law.
34. Severability
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable, or severed if modification is not permitted.
35. Entire Agreement
These Terms, together with any applicable Privacy Policy, service descriptions, marketplace terms, order forms, subscription terms, statements of work, proposals, invoices, or signed agreements, constitute the agreement between you and BaseMonkeys regarding your use of the website, client portal, and services.
