Refund, Subscription, and Cancellation Policy

Policy Overview

This Refund, Subscription, and Cancellation Policy ("Policy") explains how payments, subscriptions, renewals, cancellations, refunds, credits, failed payments, and chargebacks are handled for services provided by BaseMonkeys, LLC ("BaseMonkeys," "we," "us," or "our"). Certain legacy invoices, contracts, payment accounts, or service relationships may reference AGZ Consulting, Inc. DBA BaseMonkeys. If an order form, invoice, statement of work, proposal, or signed agreement specifically identifies AGZ Consulting, Inc. DBA BaseMonkeys as the contracting party, then that entity will be the contracting party for that specific transaction. Otherwise, the contracting party is BaseMonkeys, LLC. This Policy applies to purchases, subscriptions, service requests, marketplace orders, client portal approvals, BaseQR services, hosting-related services, website services, reports, audits, scans, consulting, support, implementation work, and other services ordered through or related to: - basemonkeys.com - smallbusiness.basemonkeys.com - clientportal.basemonkeys.com - baseqr.ai - BaseMonkeys Small Business - BaseQR - Any BaseMonkeys invoice, proposal, subscription, marketplace listing, service request, statement of work, or order form that references this Policy This Policy is incorporated into the BaseMonkeys Terms of Use, Master Services Agreement, applicable statements of work, proposals, invoices, service descriptions, subscription checkouts, marketplace orders, and client portal approvals.

1. Acceptance of This Policy

By purchasing a service, starting a subscription, approving a service request, paying an invoice, using the client portal, activating BaseQR, approving a recommendation, or otherwise ordering services from BaseMonkeys, you agree to this Policy. You agree that clicking or selecting buttons or checkboxes such as "Purchase," "Subscribe," "Approve," "Accept," "Submit Request," "Start," "Activate," "Pay," "Continue," or similar actions constitutes your electronic acceptance of this Policy, the applicable service description, pricing, billing terms, and any related terms shown at the time of purchase or approval.

2. General Payment Terms

Unless otherwise stated in writing: - Fees are due at checkout, upon invoice, upon service approval, upon subscription activation, or according to the payment schedule shown in the applicable order document. - BaseMonkeys may require payment before beginning or continuing work. - You authorize BaseMonkeys and its payment processors to charge the payment method you provide for approved services, subscriptions, renewals, taxes, third-party costs, and applicable fees. - You are responsible for keeping payment information accurate and current. - You are responsible for all approved charges, even if your internal team, administrator, authorized user, employee, contractor, or agent approved the charge through your account, portal, business email, or payment method. - You are responsible for applicable taxes, payment processor fees, third-party fees, ad spend, software fees, platform fees, hosting fees, domain fees, API fees, and other outside costs unless expressly included in writing.

3. Subscription Services and Auto-Renewal

Certain BaseMonkeys services may be provided on a recurring basis, including monthly, quarterly, annual, or other subscription billing cycles. Subscription services may include, without limitation: - BaseMonkeys Small Business plans; - Client portal services; - Hosting or hosting-related services; - Website maintenance or support plans; - Marketplace subscriptions; - BaseQR plans; - Reporting services; - Consulting retainers; - Ongoing marketing, local visibility, CRM, automation, or technical support services. Unless otherwise stated in writing: - Subscriptions automatically renew on the billing cycle shown at checkout, on the invoice, in the proposal, in the portal, or in the applicable service description. - You authorize recurring charges to the payment method on file without requiring separate approval for each billing cycle. - Subscription charges are billed in advance for the upcoming billing period unless otherwise stated. - You must cancel before the next renewal date to avoid future charges. - Cancellation takes effect at the end of the then-current billing period unless otherwise stated in writing. - Partial-month, partial-period, or prorated refunds are not provided unless required by law or expressly agreed in writing. - Unused time, unused services, unused reports, unused credits, unused revisions, unused support, or unused requests do not roll over unless expressly stated in writing.

4. Cancellation Process

To cancel a subscription or recurring service, you must use one of the cancellation methods provided by BaseMonkeys, which may include: - Cancellation through the client portal; - Cancellation through account or billing settings, if available; - Written cancellation request by email to the billing or support contact listed on the BaseMonkeys website, invoice, portal, or service documentation; - Another cancellation method specifically stated in the applicable order document. A cancellation request must clearly identify: - The business or account name; - The account owner or billing contact; - The subscription or service being canceled; - The email address associated with the account; - Any relevant invoice, order, portal, or subscription information reasonably needed to locate the account. BaseMonkeys may request reasonable verification before processing a cancellation request. If we cannot verify the requester's authority, we may delay or decline the request until verification is complete. A general message, support comment, informal statement, project feedback note, payment failure, chargeback, or failure to use the service does not automatically cancel a subscription.

5. Effective Date of Cancellation

Unless otherwise stated in writing: - Cancellation is effective at the end of the current billing period. - You will continue to have access to the applicable subscription features until the end of the paid billing period, unless access is suspended for breach, misuse, payment failure, security risk, or other permitted reason. - You will not be charged for future renewal periods after cancellation is processed. - Fees already charged for the current billing period are non-refundable. - Canceling a subscription does not cancel unpaid invoices, completed work, approved work, work in progress, third-party costs, ad spend, platform fees, domain fees, hosting fees already incurred, or other outstanding obligations.

6. Non-Refundable Fees and Services

Unless expressly stated in writing or required by law, the following are non-refundable once paid, approved, started, delivered, generated, activated, or incurred: - Setup fees; - Onboarding fees; - Strategy fees; - Consulting fees; - Discovery fees; - Audits; - Reports; - Scans; - Free-report upgrades; - Website health reports; - Local visibility reports; - Automated or AI-assisted reports; - Custom recommendations; - Service requests; - Marketplace purchases; - Website updates; - Implementation work; - Design work; - Development work; - Technical support; - Troubleshooting; - Content work; - Copywriting; - CRM, automation, analytics, tracking, or integration work; - Rush or priority fees; - Completed work; - Work in progress; - Custom work; - Subscription periods that have already started; - Hosting periods that have already started; - BaseQR fees or plans that have already started; - QR code campaigns, redirects, analytics, or account services already activated; - Ad spend; - Software fees; - Domain fees; - Hosting fees; - Platform fees; - API usage fees; - Payment processing fees; - Third-party costs; - Non-cancelable commitments. BaseMonkeys does not provide refunds because you changed your mind, failed to use the service, did not provide required information, delayed the project, lost access to a third-party account, disagreed with a recommendation, experienced third-party platform changes, or did not achieve a desired business result.

7. Refunds and Credits

BaseMonkeys may, in its sole discretion, issue a refund, partial refund, account credit, service credit, courtesy credit, or other adjustment. Issuing a refund or credit in one situation does not require BaseMonkeys to issue the same or similar refund or credit in the future. Credits, if issued, may be subject to expiration dates, service limitations, account status requirements, or other conditions stated at the time the credit is issued. Credits have no cash value unless expressly stated in writing.

8. Marketplace Services and Service Requests

Marketplace services, on-demand service requests, recommended services, and portal-approved services are governed by the applicable service description, scope, pricing, and this Policy. Unless otherwise stated in writing: - Payment is due before work begins or according to the applicable order terms. - Work may begin once the request is accepted and payment or authorization is received. - Service requests are non-refundable once work begins, research begins, a report is generated, a scan is performed, a ticket is reviewed, a recommendation is prepared, or resources are allocated. - Requests outside the listed scope may require additional fees. - If BaseMonkeys determines that a requested service cannot reasonably be performed, we may decline the request and, where appropriate, issue a refund or credit for work not performed.

9. Reports, Audits, Scans, and Recommendations

Fees for reports, audits, scans, recommendations, and related analysis are non-refundable once the report, scan, audit, review, or recommendation process begins. Reports, audits, scans, and recommendations may be generated using automated tools, artificial intelligence, third-party data, APIs, publicly available information, limited manual review, or user-provided information. Refunds are not provided because a report identifies no major issues, identifies issues you choose not to fix, contains third-party data limitations, differs from another tool, changes over time, or does not result in increased rankings, leads, traffic, sales, revenue, or other business outcomes.

10. Hosting and Website-Related Services

Hosting, hosting-related services, maintenance, and website support may be billed monthly, annually, or according to the applicable order document. Unless otherwise stated in writing: - Hosting and maintenance fees are billed in advance. - Hosting and maintenance fees are non-refundable once the billing period begins. - Cancellation is effective at the end of the current billing period. - You are responsible for exporting, migrating, backing up, or transferring your website, domain, files, DNS, email, software, and related assets before service termination unless migration services are expressly included in writing. - BaseMonkeys may suspend hosting-related services for failed payment, overdue invoices, security risk, abuse, malware, excessive usage, third-party platform issues, or breach of applicable terms. - BaseMonkeys is not responsible for downtime, lost data, lost traffic, lost leads, lost sales, SEO impact, email issues, DNS issues, or business interruption resulting from cancellation, failed payment, expired third-party services, Client-managed domains, Client-managed platforms, or Client's failure to migrate or maintain backups. If a website or hosting service is terminated, BaseMonkeys may retain, archive, delete, or disable related files, backups, credentials, staging sites, support records, or access according to its retention practices and applicable law.

11. BaseQR Services

BaseQR plans, QR code services, QR redirects, QR analytics, and related services may be billed as free, one-time, subscription, usage-based, or custom services. Unless otherwise stated in writing: - BaseQR subscription fees are billed in advance. - BaseQR subscription fees are non-refundable once the billing period begins. - QR codes, redirects, analytics, and account features may be disabled, limited, suspended, or removed after cancellation, failed payment, misuse, abuse, security risk, or violation of applicable terms. - Client is responsible for destination URLs, printed materials, QR code placement, QR code quality, campaign use, compliance, and customer communications. - BaseMonkeys does not refund reprinting costs, campaign costs, missed leads, missed sales, event losses, business interruption, scan failures, analytics gaps, or losses caused by incorrect URLs, blocked destinations, privacy settings, browser/device limitations, network issues, third-party tools, or QR code misuse. If a BaseQR plan is canceled, dynamic QR codes, redirects, analytics, management features, or premium features may stop working or become unavailable according to the applicable plan terms.

12. Third-Party Costs

Third-party costs are separate from BaseMonkeys service fees unless expressly included in writing. Third-party costs may include: - Ad spend; - Domain registrations and renewals; - Hosting fees; - Website platform fees; - Plugin fees; - Theme fees; - Software subscriptions; - API usage fees; - Payment processing fees; - Stock images, fonts, or licensed assets; - Email, CRM, analytics, automation, scheduling, or marketing platform fees; - Other third-party services or purchases. Third-party costs are non-refundable once incurred, paid, committed, authorized, or charged by the third-party provider. BaseMonkeys is not responsible for third-party refund policies, billing errors, price changes, renewal terms, account suspensions, service limitations, or platform decisions.

13. Client Delays, Inactivity, and Abandoned Projects

Client delays may affect timelines, deliverables, subscriptions, and fees. If Client fails to provide required access, content, feedback, approvals, credentials, decisions, or payment, BaseMonkeys may pause work, adjust timelines, invoice for work completed, require a restart fee, close the request, or terminate the applicable service. Unless otherwise stated in writing: - Fees are not refundable because Client delays a project. - Fees are not refundable because Client fails to provide required materials or approvals. - Fees are not refundable because Client becomes unresponsive. - Fees are not refundable because Client no longer needs the work after BaseMonkeys has started. - Restarting a paused or abandoned project may require additional fees. A project may be considered inactive or abandoned if Client does not respond to BaseMonkeys for more than fourteen (14) days after BaseMonkeys requests information, access, feedback, approval, or a decision.

14. Failed Payments and Overdue Accounts

If a payment fails, is declined, is reversed, or becomes overdue, BaseMonkeys may: - Retry the payment method on file; - Request updated payment information; - Pause work; - Suspend subscriptions; - Suspend portal access; - Suspend hosting-related services; - Suspend BaseQR services; - Withhold unpaid deliverables; - Disable premium features; - Close service requests; - Terminate services; - Send the account to collections; - Recover collection costs, attorneys' fees, chargeback fees, and other expenses where permitted by law. BaseMonkeys is not responsible for losses caused by failed payments, expired cards, bank declines, payment processor errors, suspended services, disabled QR codes, interrupted hosting, paused work, withheld deliverables, or overdue accounts.

15. Chargebacks and Payment Disputes

If you believe a charge is incorrect, you agree to contact BaseMonkeys first so we can review and attempt to resolve the issue. A chargeback or payment dispute does not automatically cancel a subscription, terminate an agreement, or relieve you of payment obligations. If you initiate a chargeback or payment dispute for a validly authorized charge, approved service, active subscription, completed work, work in progress, generated report, activated BaseQR service, third-party cost, or other amount owed, BaseMonkeys may: - Suspend all services; - Suspend portal access; - Suspend subscriptions; - Suspend hosting-related services; - Suspend or disable BaseQR services; - Withhold deliverables; - Terminate the account; - Require payment by another method before resuming services; - Recover chargeback fees, collection costs, attorneys' fees, and related expenses where permitted by law.

16. No Results-Based Refunds

BaseMonkeys does not provide refunds based on business outcomes, including but not limited to: - Search rankings; - Google Business Profile rankings; - Website traffic; - Leads; - Sales; - Bookings; - Revenue; - Profits; - Advertising performance; - Cost per lead; - Return on ad spend; - Conversion rates; - Customer reviews; - QR scan volume; - QR conversion rates; - Email performance; - CRM adoption; - Website speed scores; - Third-party audit scores; - Platform approvals. Any estimates, examples, scores, projections, recommendations, or expected outcomes are informational only and are not guarantees.

17. Promotional Offers, Discounts, and Coupons

BaseMonkeys may offer promotions, discounts, credits, coupons, free trials, free reports, referral credits, or limited-time offers. Unless otherwise stated in writing: - Promotions apply only to eligible services and eligible customers; - Promotions cannot be combined unless expressly allowed; - Promotions have no cash value; - Promotions may expire; - Promotions may be modified or discontinued at any time; - Promotional pricing may apply only to the initial period and may renew at standard pricing; - Free trials or free services may be limited, modified, suspended, or discontinued at any time. If a promotion is misused, BaseMonkeys may revoke the promotion, cancel the order, suspend the account, or charge the standard price.

18. Changes to Pricing and Services

BaseMonkeys may change pricing, plans, service descriptions, subscription features, marketplace offerings, BaseQR features, support levels, and billing terms for future purchases or renewal periods. Where required by law or applicable agreement, BaseMonkeys will provide notice of material changes before they take effect. Price changes do not affect services already paid for unless the applicable order document states otherwise.

19. Termination by BaseMonkeys

BaseMonkeys may suspend or terminate services, subscriptions, portal access, hosting-related services, BaseQR services, service requests, or accounts if: - Payment fails or becomes overdue; - You violate the Terms of Use, Master Services Agreement, Acceptable Use Policy, this Policy, or another applicable agreement; - Your use creates legal, security, reputational, operational, financial, technical, or platform risk; - You misuse services, QR codes, portal features, reports, or third-party platforms; - You submit unlawful, infringing, unsafe, misleading, deceptive, abusive, or harmful content; - A third-party platform requires action or restricts access; - Continuing the service becomes commercially unreasonable; - BaseMonkeys is required to do so by law, platform policy, court order, or government request. Termination by BaseMonkeys does not entitle you to a refund for completed work, work in progress, active billing periods, third-party costs, or amounts owed, unless expressly required by law or agreed in writing.

20. Relationship to Other Agreements

This Policy supplements the BaseMonkeys Terms of Use, Master Services Agreement, Privacy Policy, Acceptable Use Policy, service descriptions, proposals, order forms, statements of work, marketplace listings, invoices, and subscription terms. If there is a conflict between this Policy and a signed written agreement between you and BaseMonkeys, the signed written agreement controls for the specific services covered by that agreement. If there is a conflict between this Policy and a specific service description, order form, proposal, or statement of work, the specific service document controls only for the specific service and only to the extent of the conflict.

21. Changes to This Policy

BaseMonkeys may update this Policy from time to time. The updated version will be posted with a revised "Last Updated" date. Changes apply prospectively unless otherwise stated. Your continued use of BaseMonkeys services, subscriptions, portal features, BaseQR, or marketplace services after an updated Policy is posted means you accept the updated Policy.
